Pivotal Systems provides the best-in-class gas flow monitoring and control technology platform for the global semiconductor industry. The company’s proprietary hardware and software utilizes advanced machine learning to enable preventative diagnostic capability resulting in an order of magnitude increase in fab productivity and capital efficiency for existing and future technology nodes.

The platform includes Pivotal’s Gas Flow Controller (GFC) product lines that offer high-accuracy, real-time monitoring and control of the most critical parameters difficult to control in wafer processing today: Gas Flow and Chamber Condition.

Pivotal Systems Corporation is listed on the Australian Securities Exchange (ASX).

What is a CDI?

The ASX uses an electronic system called CHESS for the clearance and settlement of trades on the ASX. Pivotal is incorporated in the state of Delaware in the US, which does not recognise the CHESS system of holding securities.

Accordingly, to enable companies such as Pivotal to have their securities cleared and settled electronically through CHESS, depositary instruments called CDIs are issued. CDIs represent the beneficial interest in the underlying shares in a foreign company such as Pivotal and are traded in a manner similar to shares of Australian companies listed on the ASX.

Each CDI of Pivotal represents an interest in one share of common stock in Pivotal (Share) (a 1:1 ratio). The Shares underlying the CDIs rank equally with the Shares currently on issue in the Company. The main difference between holding CDIs and Shares is that CDI holders hold the beneficial ownership in the Shares instead of legal title.

How to Purchase Pivotal Systems Shares

Like all other ASX-listed companies, Pivotal’s CDIs are traded electronically and can only be bought and sold through an ASX participant broker. The ASX maintains a registry of ASX participant brokers which can be located here.

Pivotal Systems Corporation Replacement Prospectus

Kevin Hill was appointed Executive Director and CEO of Pivotal Systems on 1 June 2022.  Kevin was previously the Chief Operating Officer of Pivotal from May 2020-22, where he was instrumental in the delivery of Pivotal’s revenue growth and material improvements in product gross margins through efficiency gains, lower manufacturing costs and improving and diversifying Pivotal’s key suppliers, against a backdrop of global supply constraints as the semiconductor industry growth achieved record levels of revenue and growth.  Kevin has over 25 years of global high technology management experience. Before joining Pivotal, Kevin held senior roles within Apple (NASDAQ:AAPL), Applied Materials (NASDAQ:AMAT), IBM (NYSE:IBM), Flextronics (NASDAQ:FLEX), and Collins Aerospace (NYSE:COL).

Kevin has a B.S., United States Military Academy at West Point, MSBA Boston University, and is a Certified Product Manager.

Joseph Monkowski has extensive experience in the semiconductor industry focused on providing process equipment and metrology solutions for next generation device manufacturing.

Prior to joining Pivotal, Monkowski was the SVP of Business Development for Advanced Energy Industries, where he led the company’s M&A strategy to expand its product portfolio and position the company as a market leader in the semiconductor subsystems space. Previously, he held senior executive positions at Pacific Scientific, Photon Dynamics and Lam Research, where he served as EVP and CTO. During his career, Monkowski led efforts to design and build a number of leading CVD and plasma etch systems, winning the R&D 100 award and multiple Semiconductor International Best Product awards. He has authored numerous patents and publications.

Joseph Monkowski has a B.S., M.S. and Ph.D. in Electrical Engineering and an M.S. in Materials Science, all from Penn State University. He also served as a Professor of Electrical Engineering for six years at Penn State University.

Ronald (Ron) C. Warrington has over 25 years as an operating executive, venture investor, strategic advisor, and management consultant.  Earlier this year, he helped launch the IPO of Atlantic Coastal Acquisition Corp. (Nasdaq: ACAH), a $345 million Special Purpose Acquisition Company focused on the future of mobility, and is a Managing Partner at Sandy Hill Ventures, LLC an investment firm with interests in both private and public companies.

Ron  holds a Master of Business Administration (MBA) from Harvard University and a Bachelor of Arts in Economics from the University of California, Berkeley. He is a Board Member at Pace Funding Group LLC.

Ryan A. Benton has been the chief financial officer of BrainChip (ASX: BRN) since August 2017. Prior to joining BrainChip, Mr. Benton served as Chief Executive Officer and Board Member at Exar Corporation (NYSE: EXAR), which was acquired by MaxLinear Corporation (NASDAQ: MXL) in May 2017. Mr. Benton joined Exar as Chief Financial Officer at Exar in 2012. Prior to joining Exar, Mr. Benton was chief financial officer of SynapSense Corporation, a private venture-backed company. Prior to SynapSense, from February 2007 to May 2012, Mr. Benton was chief financial officer of SoloPower, Inc., a manufacturer of thin-film solar cells and flexible solar modules. From November 2004 to February 2007, Mr. Benton served as a financial consultant for the United States subsidiary of ASM International NV in Phoenix, Arizona, a semiconductor capital equipment company. He also served as chief financial officer for PB Unlimited, an advertising specialty manufacturer from April 2002 through November 2004. Mr. Benton served as corporate controller for eFunds, which was a public company that provides information technology solutions for the financial service industry, where he was employed from September 2000 to March 2002.

Mr. Benton began his career in 1991 at Arthur Anderson after receiving a B.A. from the University of Texas at Austin. Mr. Benton is a licensed Certified Public Accountant.

Kevin Landis is chief investment officer of Firsthand Capital Management (FCM), an investment management firm he founded in 1994.

FCM is the investment adviser to Firsthand Technology Value Fund (NASDAQ: SVVC), a publicly-traded venture capital fund. Born and raised in Silicon Valley, Mr. Landis has over two decades of experience in engineering, market research, product management, and investing in the technology sector.

Mr. Landis holds a bachelor’s degree in electrical engineering and computer science from the University of California at Berkeley and an MBA from Santa Clara University.

 

Peter McGregor has over 30 years’ experience in senior finance and management roles, including having been Chief Executive Officer of technology company, Think Holdings, Chief Financial Officer of the ASX50 transport company, Asciano, and a partner in the Investment Banking firm of Goldman Sachs JBWere.

He also spent time as a Managing Director within the Institutional Banking & Markets division of Commonwealth Bank and was Chief Operating Officer of ASX-listed Australian Infrastructure Fund. Peter is an experienced company Director, having served as Chairman of the Port of Geelong and as a Director of Melbourne, Gold Coast and Darwin Airports.

He is currently a Director of the Brisbane Lions AFL club and Nutrano Produce Group Limited and is a former member of the Prime Minister’s Rail Projects Taskforce and the Business Council of the National Gallery of Victoria.

He holds a Commerce Degree from the University of Melbourne, is a Fellow of FINSIA and a Member of the Au

David Michael is Managing Director at Anzu Partners, an investment partnership which invests in innovative industrial technology companies. In addition to his role at Pivotal Systems, he is also Board member of Nuburu (industrial lasers), Axsun (MEMS-based sensors for medical and industrial uses), and Terapore (nanofiltration membranes for ultrapure water and other applications.

Mr. Michael was formerly Senior Partner and Managing Director of The Boston Consulting Group (BCG), where his career spanned numerous leadership roles across the firm. He formerly led BCG’s Greater China business and their Asia Technology Practice. He served a range of clients in semiconductors, components, hardware, software, and services. He was based for 7 years in Silicon Valley and for 16 years in Greater China. He remains a Senior Advisor to the firm.

Mr. Michael is also a board member of Taiwan Cement Corporation, a publicly traded industrial conglomerate whose businesses include specialty chemicals, lithium ion batteries, and power generation.

Mr. Michael holds a B.A. in Economics from Harvard University and an M.B.A. from Stanford.

 
 
 

Jason Korman is a Partner at Viburnum Funds, an Australian-based active ownership investment management firm and a major shareholder of Pivotal.

Jason has over 10 years’ experience in private equity and investment management across Australia, Singapore and the USA at BGH Capital, Argand Partners and CHAMP Private Equity. He has been involved in numerous investments, exits and financings across a range of sectors including technology, education, manufacturing, chemicals and general industrial. Prior to this, Jason worked in investment banking at Credit Suisse.

Jason graduated from the University of Melbourne with a Bachelor of Commerce (Honors).

Professor Bent is the Jagdeep and Roshni Singh Professor at Stanford University, where she holds appointments as Vice Provost for Graduate Education and Postdoctoral Affairs, Professor of Chemical Engineering, and Professor, by courtesy, of Chemistry, of Materials Science and Engineering, and of Electrical Engineering.

She is a globally recognized thought leader in surface and interfacial chemistry and holds many prestigious awards and positions, including winner of the American Vacuum Society 2021 ALD Innovator Award for original work and leadership in ALD, winner of the American Chemical Society 2018 Award in Surface Chemistry, election to the U.S. National Academy of Engineering, Fellow of the American Chemical Society, and Fellow of the American Vacuum Society, among others.

At Pivotal, Professor Bent’s expertise will help guide research and development programs in semiconductor or in adjacent markets.
